Our services are intended for lawful business purposes only. You agree not to:

Interfere with or disrupt our servers or networks.
Reverse-engineer or copy proprietary technology without consent.

2. Service Descriptions

Prosprus provides AI-driven communication tools including:

AI Voice Receptionists
AI SMS and Lead Reactivation Campaigns
Speed-to-Lead Automation and CRM Integration

Service features, pricing, and availability are subject to change with notice.

3. Payment Terms

Clients agree to pay setup and subscription fees as stated in their service agreement or invoice. Payments are due upon receipt unless otherwise stated. Late or non-payment may result in service suspension.

4. Client Responsibilities

Clients are responsible for:

Providing accurate and updated contact information.
Ensuring compliance with SMS and communication laws (A2P 10DLC, TCPA, etc.).
Maintaining confidentiality of access credentials.

5. Intellectual Property

All content, software, and AI models developed or provided by Prosprus remain our exclusive property. Clients receive a non-transferable, limited license to use the software as part of their active subscription.

6. Limitation of Liability

Prosprus is not liable for indirect, incidental, or consequential damages, including data loss or loss of business opportunities.
Total liability shall not exceed the amount paid by the client for services during the prior 3 months.

7. Termination

Either party may terminate service with written notice. Upon termination, client access will be revoked, and all unpaid fees remain due.

8. Confidentiality

Both parties agree to protect confidential information exchanged during the service relationship, including trade secrets and business data.

9. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law principles.

10. Updates to Terms

Prosprus reserves the right to update or modify these Terms at any time. Continued use of the website or services constitutes acceptance of any revisions.
